Biography

Ms. Hughes' practice encompasses business counseling and dispute resolution primarily for clients engaged in franchising, product manufacturing, selling and distribution, licensing and construction, including on-going advice on employment law and a wide range of transactional subjects.

Ms. Hughes represents product manufacturers, sellers, distributors, franchisors, franchisees, franchise groups and associations in all aspects of business distribution and franchise law. She has extensive experience in structuring franchise distribution and licensing agreements and programs; in pre-sale disclosure, including preparation and review of Uniform Franchise Offering Circulars; in registration, sales and compliance issues; and in franchisor-franchisee, manufacturer-distributor and sales representative and licensee relations, terminations, dispute resolution and related transactional issues.

She also provides ongoing employment law counseling, compliance reviews and dispute resolution services relating to employment policies and practices, discrimination, sexual harassment, termination and discipline.

Ms. Hughes is a frequent lecturer for business, client and attorney groups on selected distribution, franchising, construction, employment and related business law topics, including recent seminars on the following:
